These Terms & Conditions ("Terms") govern your use of the VESILL website, events, and related services (collectively, the "Services") operated by Buckley Ventures LLC ("VESILL," "we," "us," or "our"). By creating an account, attending an event, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.
You must be at least 18 years of age to create an account and use VESILL. By registering, you represent and warrant that you are at least 18 years old, that the information you provide is accurate and complete, and that you have the legal capacity to enter into these Terms.
VESILL is designed for entrepreneurs, founders, professionals, and ambitious individuals seeking a fitness and networking community. We reserve the right to decline membership to any individual at our discretion.
To access most features of VESILL, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to keep your information updated.
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.
One person may not maintain multiple accounts without our prior written consent. Creating an account on behalf of another person or entity is prohibited.
Creating an account does not guarantee membership in the VESILL community. Membership is subject to review and approval by VESILL. We evaluate applications based on factors including professional background, community fit, and alignment with our values.
Membership in VESILL is a privilege, not a right. We retain sole discretion over all membership decisions. If your application is approved, you will be granted access to the community directory, event registration, and other member features. If your application is not approved, you may be placed on a waitlist or notified that membership is not available at this time. No reason for denial need be provided.
Members who join through an invitation from an existing member may be granted membership status upon completion of onboarding, subject to our review.
We reserve the right to revoke, suspend, or restrict membership at any time, with or without cause and with or without notice. Grounds for revocation include, but are not limited to, violation of these Terms, violation of our Community Guidelines, disruptive behavior, misuse of the platform, or any action that we determine may harm the community or the VESILL brand.
Upon revocation, your access to the community directory, events, and member features will be terminated. No refunds or compensation will be provided for revoked memberships, except where required by law.
Approved members gain access to the VESILL community directory, event threads, member profiles, and networking features. Access to specific features may vary based on membership status, event participation, and community engagement.
We may introduce additional features, tiers, or membership levels in the future, including paid memberships, premium events, and digital products. Access to such features may be subject to additional terms and fees.
Members may register for events through the VESILL platform. Event registration is subject to availability, capacity limits, and any event-specific requirements. Some events may be open to the public, while others may be limited to approved members or specific membership tiers.
By registering for an event, you agree to comply with all event rules, instructions, and requirements communicated by VESILL, including those set forth in our Event Participation Terms.
When you RSVP to an event, your spot is reserved subject to the event's capacity. If the event reaches capacity, you will be placed on a waitlist and notified if a spot becomes available.
If your plans change, you are expected to cancel your RSVP as soon as possible so that another member may attend. Repeated no-shows or late cancellations may result in reduced priority for future event registrations or suspension of event privileges.
RSVP confirmation does not guarantee entry. Entry is subject to check-in, capacity management, and compliance with event requirements on the day of the event.
When an event reaches capacity, additional RSVPs are placed on a waitlist in the order received. If a confirmed attendee cancels, the next waitlisted member will be notified and offered the available spot.
Waitlist positions are not guaranteed and are subject to change based on cancellations and capacity adjustments. We reserve the right to manage waitlists at our discretion to optimize event attendance and community experience.
Upon RSVP confirmation, VESILL generates a unique QR Event Pass linked to your account. Your QR Event Pass contains a non-identifying pass ID and is used for event check-in and attendance verification.
QR Event Passes are non-transferable. You may not share, sell, duplicate, or alter your pass. Each pass is linked to your specific account and event registration. Misuse of a QR Event Pass may result in denial of entry and suspension of event privileges.
Event check-in is conducted by scanning your QR Event Pass at the event. You must present your own pass for check-in. Identification may be required to verify your identity.
Check-in may be managed by VESILL staff or authorized administrators. We reserve the right to deny entry to any individual, including those with a valid RSVP, if we determine that entry would compromise the safety, security, or quality of the event.
Event attendance is tracked through check-in records. Your attendance history may influence your priority for future event registrations and your standing within the community.
Members who repeatedly RSVP and fail to attend without canceling may have their event privileges restricted. We encourage members to honor their commitments and communicate changes promptly.
You may contribute content to VESILL, including profile information, event thread messages, photos, and other materials ("User Content"). You retain ownership of your User Content but grant VESILL a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute your User Content within the Services for the purpose of operating and promoting the community.
You represent and warrant that your User Content does not violate any law or third-party rights, including intellectual property and privacy rights. You are solely responsible for your User Content and any consequences of posting it.
We reserve the right to remove, hide, or moderate User Content that we determine violates these Terms, our Community Guidelines, or is otherwise objectionable. We also reserve the right to take action against accounts that post prohibited content.
The VESILL community directory displays member profiles, including names, photos, cities, industries, and networking preferences. The directory is visible to approved members and is intended to facilitate connections within the community.
You may control certain aspects of your directory visibility through your privacy settings. However, some information is essential to the community experience and may be displayed regardless of settings, such as your name and profile photo when you RSVP to an event.
You may not scrape, copy, or export member information from the directory for purposes outside of legitimate VESILL community engagement. Misuse of directory information may result in account termination.
VESILL facilitates connections between members through events, the community directory, and recommendation features. However, we do not guarantee any specific outcome from participation in the community, including but not limited to: introductions, friendships, business opportunities, employment, investment opportunities, partnerships, event attendance, or compatibility between members.
VESILL is a platform for connection, not a guarantee of results. The quality, value, and outcome of any interaction between members is solely the responsibility of the individuals involved. We are not a party to any relationship, transaction, or collaboration that arises between members, and we make no representation as to the character, qualifications, or intentions of any member.
The VESILL name, logo, branding, website design, and all related content are the intellectual property of Buckley Ventures LLC and are protected by applicable intellectual property laws. You may not use, copy, or distribute our intellectual property without our prior written consent.
User Content remains the property of the respective users, subject to the license granted above. We respect the intellectual property rights of others and expect our members to do the same.
VESILL events may be photographed and recorded for promotional, marketing, documentation, and commercial purposes. By attending an event, you consent to being photographed and recorded, and you grant VESILL the irrevocable right to use your name, image, likeness, and voice in any medium, including on our website, social media channels, and in future marketing and promotional materials, without further compensation or notice.
If you do not wish to be photographed, you may notify event staff. While we will make reasonable efforts to accommodate such requests, we cannot guarantee that you will not appear in event media, particularly in group or wide shots.
VESILL partners with sponsors and brand partners to provide perks, discounts, and collaboration opportunities to members. Sponsors are independent third parties, and VESILL is not responsible for the conduct, products, or services of any sponsor.
Sponsor Profiles. Sponsors may have profiles on VESILL displaying their logo, description, website, and social links. Sponsors are managed by VESILL administrators and may also claim their profile to manage it directly through the Sponsor Portal.
Sponsor Offers. Sponsors may create offers (discounts, free products, consultations, giveaways) attached to specific events. Offers may be restricted to confirmed attendees, all members, or the public. When you redeem an offer, you may be redirected to the sponsor's external website, which is governed by the sponsor's own terms and policies.
Collaboration Opportunities. Sponsors may post collaboration opportunities (e.g., UGC, content creation, brand deals) visible only to members who have opted in to brand collaborations. When you apply, your profile information (name, email, Instagram, website, photo, social reach) and application content are shared with the sponsor. You may only apply once per opportunity.
Sponsor Portal Access. Approved sponsors have access to a limited Sponsor Portal where they can view their events, offer performance, and collaboration applications. Sponsors do NOT have access to the member directory, private member data, or other sponsors' information.
No Guarantee of Deals or Compensation. VESILL does not guarantee that any sponsor offer, discount, or collaboration opportunity will result in a benefit. Sponsors may change, withdraw, or expire offers at any time. Applications may be declined at the sponsor's sole discretion. VESILL does not guarantee any compensation for collaborations — the terms of any brand deal are solely between you and the sponsor.
Member Responsibility. You are solely responsible for any agreements, collaborations, or transactions you enter into with sponsors. VESILL is not a party to any external sponsor agreement unless explicitly stated in writing. You are responsible for reviewing sponsor terms, deliverables, and compensation before committing to any collaboration.
Third-Party Sponsor Websites. Sponsor offers may link to external websites. VESILL is not responsible for the content, privacy practices, or terms of third-party sponsor websites. Once you leave VESILL, the sponsor's terms and privacy policy apply.
Redemption Tracking. When you click "Redeem Offer," VESILL records your click to provide engagement metrics to sponsors. This includes your user ID, name, email, timestamp, and source page. This data is used solely for sponsor engagement reporting and abuse prevention.
VESILL does not endorse, warrant, or guarantee any sponsor's products or services. Any interaction, transaction, or collaboration with a sponsor is solely between you and the sponsor.
VESILL may integrate with third-party services, including Strava for fitness activity tracking, calendar applications, and other platforms. These integrations are optional and subject to the terms and privacy policies of the respective third-party providers.
We are not responsible for the practices or content of third-party services. You use third-party integrations at your own risk and should review the terms and privacy policies of any third-party service before connecting it to your VESILL account.
You agree not to engage in any of the following conduct while using VESILL:
Violations of these rules may result in content removal, account suspension, or permanent termination, as described in our Community Guidelines.
We reserve the right to suspend or terminate your account at any time, with or without cause and with or without notice, if we determine that you have violated these Terms, our Community Guidelines, or any applicable law, or if your conduct is harmful to the community or the VESILL brand.
Upon termination, your access to the Services will be revoked, and your profile and associated data may be deleted in accordance with our Privacy Policy. You may not register for a new account following termination without our prior written consent.
You may delete your VESILL profile at any time from your Profile Settings. Deleting your profile does not relieve you of obligations or liabilities that accrued prior to deletion.
To the maximum extent permitted by law, Buckley Ventures LLC and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities, arising out of or related to your use of the Services, attendance at events, or interactions with other members or sponsors.
Our total aggregate liability for any claim arising out of or related to the Services shall not exceed the amount you have paid to VESILL in the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
The Services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the reliability, availability, accuracy, or fitness for a particular purpose of the Services.
We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any event will proceed as planned. We do not guarantee the accuracy of member profiles, the quality of member interactions, or the outcome of any networking opportunity.
You use the Services at your own risk.
VESILL events may involve physical activity, including running, fitness exercises, and outdoor activities. You acknowledge that participation in such activities carries inherent risks, including the risk of injury, illness, or death.
You represent that you are in adequate physical condition to participate in VESILL events and that you have consulted a physician if you have any concerns about your ability to participate safely. You assume full responsibility for your health and safety during events.
Additional risk acknowledgments are set forth in our Event Participation Terms and the Event Waiver, which you may be required to accept before participating in certain events.
You agree to indemnify, defend, and hold harmless Buckley Ventures LLC and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your User Content, your conduct at events, or your violation of these Terms or any applicable law.
These Terms and any dispute arising out of or related to them or to the Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
You agree that the courts of California shall have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Services, and you consent to the personal jurisdiction of such courts.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association in Los Angeles, California, under its then-applicable rules.
The arbitrator's decision shall be final and binding, and judgment may be entered upon it in any court of competent jurisdiction. The arbitration shall be conducted on an individual basis, and you and VESILL agree that each party may bring claims against the other only in an individual capacity.
Class Action Waiver. You and VESILL agree that any arbitration or legal proceeding shall be conducted solely on an individual basis, and not as a class, collective, or representative action. You and VESILL expressly waive the right to participate in any class, collective, or representative action, and the arbitrator shall have no authority to consolidate claims or preside over any such proceeding.
VESILL shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, weather events, pandemics, government actions, civil unrest, labor disputes, power outages, internet or telecommunications failures, or other events that make it impossible or impracticable to perform our obligations.
In such circumstances, we may cancel, postpone, or modify events without liability, and will make reasonable efforts to notify affected members.
These Terms, together with our Privacy Policy, Community Guidelines, and Event Participation Terms, constitute the entire agreement between you and Buckley Ventures LLC regarding your use of the Services and supersede all prior or contemporaneous agreements or understandings.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision in these Terms shall not be considered a waiver of that right or provision.
